Nova Doc Terms of Service

Welcome to Nova Doc! These Terms of Service (“Terms”) govern your access to and use of the Nova Doc website, applications, software, and related services (collectively, the “Services”). Please read these Terms carefully. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you may not use the Services.
1. About Us
The Services are provided by Nova Doc Pte. Ltd., a company incorporated in Singapore, with its principal place of business in Singapore. Certain aspects of these Terms, including dispute resolution, may be administered by a US-based affiliate of Nova Doc Pte. Ltd. (“Nova Doc,” “we,” “our,” or “us”).
2. Eligibility
You may use the Services only if you are at least 13 years old. If you are under 18, you must have the consent of your parent or guardian. You represent and warrant that you have the legal capacity to agree to these Terms.
3. Your Account
To access certain Services, you may need to create an account. You agree to provide accurate information and to keep it updated. You are responsible for safeguarding your account credentials and for all activities under your account. Notify us immediately at hi@nova-doc.com if you suspect unauthorized access.
4. License to Use the Services
Subject to these Terms, Nova Doc grants you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services for your personal or internal business use. You may not copy, modify, distribute, sell, or lease any part of the Services without our prior written consent.

Use the Services in any unlawful manner or for any unlawful purpose.
Reverse engineer, decompile, or attempt to extract the source code of the Services except as permitted by law.
Interfere with or disrupt the Services or servers.
Use automated systems (such as bots) to access the Services in a manner that sends more requests than a human could reasonably produce in the same period.

You retain ownership of the content you submit to the Services (“Your Content”). By submitting Your Content, you grant Nova Doc a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, host, store, reproduce, modify, and display Your Content for the purpose of operating, improving, and promoting the Services.
You represent and warrant that you have all necessary rights to grant this license and that Your Content does not infringe or violate the rights of any third party.
7. Feedback
If you provide feedback, comments, or suggestions about the Services (“Feedback”), you grant Nova Doc a perpetual, worldwide, irrevocable, royalty-free license to use and incorporate your Feedback without any obligation to compensate you.
8. Privacy

9. Third-Party Services

The Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Nova Doc does not guarantee that the Services will be uninterrupted, secure, or error-free, or that any defects will be corrected.
12. Limitation of Liability
To the maximum extent permitted by law, Nova Doc and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or loss of data, use, goodwill, or other intangible losses, resulting from:
Your use of or inability to use the Services;
Any unauthorized access to or use of our servers or data;
Any interruption or cessation of transmission; or
Any bugs, viruses, or harmful components transmitted through the Services.
Our total liability for any claim arising out of or relating to these Terms or the Services will not exceed the amount you paid to Nova Doc for the Services in the 12 months preceding the claim.
13. Governing Law and Dispute Resolution
These Terms are governed by the laws of the United States and the State of California, without regard to its conflict of laws principles.
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services will be resolved by binding arbitration under the Federal Arbitration Act, administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration will take place in San Francisco County, California, and will be conducted in English. Judgment on the arbitration award may be entered in any court with jurisdiction.
Either party may bring claims in small claims court in San Francisco County, California, or in any US county where you live or work.
14. Changes to the Terms
We may modify these Terms at any time. If we make material changes, we will provide notice by updating the “Effective Date” and/or by other reasonable means. Your continued use of the Services after the changes take effect constitutes acceptance of the new Terms.
15. Export Control
You may not use or export the Services except as authorized by United States law, the laws of the jurisdiction in which the Services are hosted, and any other applicable laws.
16. Entire Agreement
These Terms, together with the Privacy Policy and any additional agreements you enter into with Nova Doc in connection with the Services, constitute the entire agreement between you and Nova Doc regarding the Services.
